These Terms of Service ("Terms") are a legal agreement between you (the "Subscriber") and CDX Technologies, a division of Hughes Financial Services, Inc. ("HFS"), governing your access to and use of the hosted CDXZipStream platform — the CDXZipGeo API (api.cdxzipstream.com), the web application (app.cdxzipstream.com), and the CDXZipStream add-ins for Excel, Google Sheets, and LibreOffice Calc (together, the "Service"). By creating an account or using the Service you agree to these Terms. Your use of the add-in software is also governed by the End User License Agreement. HFS may update these Terms on notice posted in-product or on the CDXZipStream website.
1. Eligibility and Acceptance
You must be 18 or older and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind it to these Terms.
2. The Service
CDXZipStream provides ZIP/postal, distance and radius, demographics, geocoding, routing, address-verification, and related operations over an HTTPS/JSON API and through spreadsheet add-ins that call that API.
The Service is metered in Credits. Each account has a subscription plan (Free, Pro, or Enterprise) with a monthly Credit grant, and may hold a balance of prepaid top-up Credits. Each operation consumes Credits at the then-current published rate; grant Credits are drawn first, then top-ups.
3. Accounts, API Keys, and Security
To use the Service you register an account and are issued one or more API Keys. All API Keys on an account share that account's single pooled Credit balance and plan.
You are responsible for keeping your API Keys confidential and for all activity under your account and Keys. You agree to provide accurate registration information, keep it current, and notify HFS promptly of any unauthorized use. HFS may refuse, suspend, or terminate accounts at its discretion, including accounts that repeat prior cancellations or violations.
4. Plans, Credits, Fees, and Billing
Paid plans and Credit top-ups are billed in U.S. dollars through the CDXZipStream customer portal at the pricing then in effect. Currency conversion, wire, and bank fees are your responsibility.
Monthly grant Credits are provided for the billing period and do not roll over; prepaid top-up Credits do not expire while your account is active. When available Credits are exhausted, the Service declines further metered operations (which are not performed and not charged) until your account is replenished.
Except where required by law, fees and purchased Credits are non-refundable and Credits have no cash value. HFS may change pricing, plan grants, per-operation Credit costs, and rate limits on notice, and may suspend or limit the Service for non-payment or delinquency.
5. Acceptable Use
You agree not to, and not to permit others to:
resell, rent, lease, or provide the Service to third parties as a standalone service, or use it to build or train a competing product;
extract, scrape, or systematically download the underlying datasets other than through normal metered use;
circumvent Credit metering, authentication, or rate limits, or place an undue burden on the Service or connected networks;
use the Service unlawfully, to infringe third-party rights, or to transmit harmful or unlawful content; or
reverse engineer, decompile, or disassemble the Service or add-in software except as applicable law expressly permits.
6. Availability and Changes
HFS will make reasonable efforts to keep the Service available but does not guarantee uninterrupted access; the Service may be unavailable due to maintenance, provider or network outages, or other causes. You are responsible for your own internet access and equipment. HFS may modify, add, or discontinue features at any time.
7. Third-Party Data and Providers
The Service relies on third-party data and providers, including USPS-derived address data, public reference data, and geocoding/routing providers. You are responsible for complying with any applicable third-party terms for results you obtain. Reference, geocoding, demographic, and routing results may be approximate, incomplete, or out of date; verify results before relying on them for decisions with legal, financial, or safety consequences.
8. Intellectual Property
HFS and its suppliers retain all right, title, and interest in the Service, the add-in software, and all underlying technology and data compilations. You retain ownership of the input data you submit; you grant HFS the limited right to process it to provide the Service and to maintain operational and usage logs.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, HFS AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR PRODUCE ACCURATE OR COMPLETE RESULTS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HFS AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, COVER, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, BUSINESS, DATA, OR GOODWILL), AND HFS'S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID HFS FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $50.
11. Suspension and Termination
You may stop using the Service and close your account at any time. HFS may suspend or terminate your access for breach, non-payment, or conduct that risks harm to the Service or others. On termination your right to use the Service ends; provisions that by their nature should survive (Intellectual Property, Disclaimers, Limitation of Liability, and General) survive. HFS has no obligation to retain your data after termination.
12. Privacy
Your use of the Service is subject to the CDXZipStream Privacy Policy, which describes the data HFS collects and how it is used.
13. Governing Law
These Terms are governed by the internal laws of the State of New Jersey, without regard to conflict-of-laws principles and without regard to the United Nations Convention on the International Sale of Goods. You consent to the exclusive jurisdiction and venue of the state and federal courts located in New Jersey.
14. General
These Terms are the complete agreement regarding the Service and supersede prior understandings. Additional or conflicting terms in your documents have no effect. HFS's failure to enforce a provision is not a waiver. If a provision is unenforceable, the remainder stays in effect. CDXZipStream and related marks are trademarks of HFS; third-party marks belong to their owners.
